01Scope and nature of this Notice
This Legal Notice is published to comply with the information requirements applicable to information-society service providers under Article 5 of Directive 2000/31/EC (the E-Commerce Directive), as transposed into Romanian law by Law No. 365/2002, and with related disclosure obligations under Romanian company and trade-registry law.
It applies to the website https://vendor.energy and to all pages and language versions (English, Romanian, German, Simplified Chinese) available under that domain (the “Website”).
This Legal Notice is a unilateral statutory disclosure. It is not a contract, it is not incorporated into our Terms of Service, and your access to the Website does not constitute acceptance of any obligation derived from this Notice. Contractual terms governing use of the Website are set out in the Terms of Service; the processing of personal data is described in the Privacy Policy; the use of cookies and similar technologies is described in the Cookie Policy; and operational rules of conduct are set out in the Acceptable Use Policy.

This identification block satisfies the disclosure obligations under Article 5(1) of Directive 2000/31/EC, Article 74(1) of Romanian Law No. 31/1990 on companies, and the information duties applicable to information-society service providers.
03Representation and contact
The Company is represented by its Administrator, acting in accordance with the Company’s articles of association and with applicable Romanian company law. All external communications are routed through a single institutional channel to ensure traceable handling.

04Nature of the Website
The Website is an informational platform describing the Company’s pre-commercial deep-technology programme VENDOR.Energy, including engineering, scientific, operational, and corporate context. The underlying system is assessed by the Company as operating at Technology Readiness Level 5–6 (research and laboratory-validated stage); TRL is a self-assessment framework and is not a third-party certification.
For the avoidance of doubt, the Website:
- is not an online shop, marketplace, or e-commerce platform;
- is not an online intermediation service or online search engine within the meaning of Regulation (EU) 2019/1150 (Platform-to-Business Regulation);
- does not offer securities to the public and is not a prospectus, offering document, or solicitation within the meaning of Regulation (EU) 2017/1129;
- does not provide investment advice, financial planning, portfolio management, or legal or tax advice.
Materials intended for qualified investors are not available on the public Website. Access to such materials requires separate registration and manual approval through the dedicated application page at /investor-room/.
05Applicable regulatory framework
The Company is established in Romania and operates under Romanian law and directly applicable European Union law. This Legal Notice is published having regard, in particular, to the following instruments:
5.1 Romanian law
- Law No. 365/2002 on electronic commerce, transposing Directive 2000/31/EC;
- Law No. 190/2018 on measures to implement Regulation (EU) 2016/679 (GDPR);
- Law No. 506/2004 on the processing of personal data and the protection of privacy in the electronic-communications sector, transposing Directive 2002/58/EC (ePrivacy Directive);
- Law No. 31/1990 on companies (republished), including the disclosure duty under Article 74(1) for limited liability companies;
- Law No. 26/1990 on the trade registry.
5.2 European Union law
- Directive 2000/31/EC — information to be provided by information-society service providers;
- Regulation (EU) 2016/679 — General Data Protection Regulation (GDPR);
- Regulation (EU) 2022/2065 — Digital Services Act (DSA), in particular Article 11 (points of contact for Member State authorities) and Article 12 (points of contact for recipients of the service);
- Directive (EU) 2016/943 — protection of undisclosed know-how and business information (trade secrets), relevant to the Company’s intellectual-property framework.
Where additional rules apply to a specific matter (for example consumer-protection provisions that may apply if a visitor is a consumer within the meaning of applicable law), those rules continue to apply in addition to, and without prejudice to, this Notice.
06Data protection contact and supervisory authority
The Company acts as controller, within the meaning of Article 4(7) of the GDPR, for personal data processed through the Website. Full information on categories of data, purposes, legal bases, retention, recipients, transfers, and data-subject rights is set out in the Privacy Policy.
Privacy inquiries and requests from data subjects should be sent to info@vendor.energy with subject line [PRIVACY]. This address is a privacy contact and should not be interpreted as the formal designation of a Data Protection Officer within the meaning of Article 37 of the GDPR.
Without prejudice to any other administrative or judicial remedy, every data subject has the right to lodge a complaint with a supervisory authority, in particular in the Member State of habitual residence, place of work, or place of the alleged infringement (Article 77 GDPR). 07Digital Services Act — points of contact
Pursuant to Articles 11 and 12 of Regulation (EU) 2022/2065 (Digital Services Act), the Company designates a single electronic point of contact, identified below, to receive communications from Member State authorities, the European Commission, and the European Board for Digital Services, as well as from recipients of the service.

8.2 Trademarks
VENDOR is a registered European Union trademark (EUIPO No. 019220462), owned by MICRO DIGITAL ELECTRONICS CORP S.R.L. The Company’s logo, visual identity, and product naming are protected by copyright and, where applicable, by unregistered trademark rights. The domain name vendor.energy is registered in the name of the Company. Third-party names, logos, and trademarks mentioned on the Website remain the property of their respective owners and are used for identification purposes only.
8.3 Patents
The Company’s patent portfolio is disclosed separately on the dedicated Patent Portfolio page. Information concerning patents, patent applications, and related rights is provided for research-and-development context and does not constitute a commercial claim, a warranty of validity, or an offer of licence.
8.4 No licence
No licence, whether express or implied, to use the intellectual property of the Company (including patents, trademarks, copyrights, know-how, and trade secrets) or of any third party is granted by your access to, or use of, this Website. All rights not expressly granted are reserved.

11Governing law and jurisdiction
This Legal Notice, and any non-contractual obligations arising out of or in connection with it, are governed by Romanian law and directly applicable European Union law. The competent courts of Bucharest, Romania have exclusive jurisdiction, without prejudice to any mandatory rule of jurisdiction, in particular rules protecting consumers in their country of habitual residence.
